Section 8 company registration in India, a founder's guide

Section 8 company registration in India is how you set up a non profit as a proper company under the Companies Act 2013. It carries more credibility than a trust or society, applies all its income to its objects rather than distributing profit to members, and is recognised easily by donors and funders. Here is how registration works and what comes after.

What a Section 8 company is

A Section 8 company is formed to promote a charitable object such as education, art, science, sports, social welfare, research, environment protection or relief of the poor. Two features define it:

  • Profits and income are applied to the objects of the company. They are not paid out to members as dividends.
  • It needs a licence from the Central Government, granted by the Registrar of Companies, before it can be incorporated.

It is a non profit, but it is still a company, so it gets the same separate legal identity and limited liability that founders value.

No minimum capital

There is no minimum capital requirement for a Section 8 company. You can start with a capital figure that suits your plans. This makes it accessible for founders setting up a non profit without large upfront funds.

Documents you need

The core documents are similar to any company registration, with a few extras specific to the non profit object.

  • PAN and Aadhaar for each director and member.
  • One photo identity proof and one address proof per person.
  • A passport size photograph, an email and a mobile number for each person.
  • Registered office proof, a recent utility bill, plus a rent agreement and a no objection certificate if the office is rented.
  • A statement of the objects of the company, and a projected statement of income and expenditure for the first 3 years.
  • A declaration confirming the application is in order.

The registration steps

Section 8 companies are filed through the same SPICe+ route as other companies, with the licence application built in.

  1. Apply for a Digital Signature Certificate for each director.
  2. Reserve the company name. Section 8 names usually carry words like Foundation, Association or Council rather than Private Limited.
  3. File for the Section 8 licence in Form INC 12 along with the SPICe+ filing, with the Memorandum and Articles of Association setting out the charitable objects.
  4. Receive the licence and the Certificate of Incorporation, along with PAN and TAN.

How long it takes

Because the licence is approved alongside the incorporation, a Section 8 company typically takes a little longer than an ordinary Private Limited Company. Plan for roughly 10 to 15 working days once documents are ready, subject to MCA approval. A clear, well drafted statement of objects helps avoid queries that add delay.

The next steps after incorporation

Incorporation is the start. To unlock the tax position and funding a non profit needs, most Section 8 companies then register for three more things.

  • 12A registration, which gives the company income tax exemption on its own income, so its surplus is not taxed when applied to its objects.
  • 80G registration, which lets your donors claim a deduction on what they give you. This makes fundraising far easier.
  • CSR 1 registration with the MCA, which is required to receive corporate social responsibility funds from companies.

Apply for 12A and 80G together soon after incorporation, then add CSR 1 if you intend to receive CSR money. These registrations are what turn a registered non profit into one that can actually raise and deploy funds efficiently.

A common mistake

Founders often treat the objects clause as a formality and copy generic wording. The Registrar reads it closely for a Section 8 licence, and a vague or commercial sounding object draws queries or rejection. Write the objects precisely, tied to a clear charitable purpose, and keep the projected finances consistent with them.
