Documents required for company registration in India (2026)
The documents required for company registration in India fall into three groups, identity and address proof for each director and shareholder, proof for the registered office, and a few signed declarations. Get these right the first time and most of your registration runs without resubmission. Here is the full checklist we use when we file.
Documents for each director and shareholder
Every director and shareholder needs the same core set. For a Private Limited Company you need at least two people, for an OPC you need the member and the nominee, and for an LLP you need the designated partners.
- PAN card of each person, this is mandatory for Indian nationals
- Aadhaar card of each person
- One photo identity proof, a passport, voter ID or driving licence
- One address proof, a recent bank statement or utility bill, usually not older than two months
- One passport size photograph
- A working email address and mobile number for each person
The name on the PAN, the Aadhaar and the identity proof must match exactly, including spelling and order. A mismatch here is the single most common reason a name gets queried by the ROC.
Documents for the registered office
The registered office can be a home or a rented space, anywhere in India. You need to prove that the company is allowed to use that address.
- A recent utility bill for the office address, an electricity bill, gas bill or property tax receipt, usually not older than two months
- A rent agreement if the office is rented
- A no objection certificate from the owner, a simple signed letter that says the owner permits the company to use the address as its registered office
If you own the property, the utility bill in your name plus a no objection certificate is enough. If it is rented, you need all three, the bill, the rent agreement and the no objection certificate.
What changes by structure
The core documents stay the same. The forms and a few extras differ.
- Private Limited and OPC are filed through the SPICe+ form, INC 32, with the eMoA in INC 33 and the eAoA in INC 34. AGILE PRO S, INC 35, is filed alongside for GST, EPFO, ESIC, the bank account and professional tax.
- An OPC also needs the nominee’s consent in Form INC 3, along with the nominee’s PAN and Aadhaar.
- An LLP is filed through the FiLLiP form. The LLP agreement is then filed in Form 3 within 30 days of incorporation.
Directors and designated partners need a Digital Signature Certificate, a DSC, before any form can be signed. The DIN for directors is allotted inside SPICe+, and the DPIN for LLP partners is allotted inside FiLLiP, so you do not apply for these separately in most cases.
What counts as valid identity and address proof
This trips up a lot of applications, so be precise.
- Valid identity proof, passport, voter ID or driving licence. The PAN is required separately and is not counted as the photo identity proof here.
- Valid address proof for a person, a bank statement, electricity bill, mobile bill or telephone bill in that person’s name, recent and clearly dated.
- For foreign nationals, the passport is mandatory and documents must be notarised or apostilled depending on the country.
The most common reasons documents get rejected
We see the same handful of issues again and again. Avoiding them saves a full resubmission cycle.
- Name mismatch across PAN, Aadhaar and identity proof.
- Blurred, cropped or partly cut scans. The ROC needs a clean, full page image.
- An address proof or utility bill that is too old.
- A no objection certificate that is missing, unsigned or names the wrong person as owner.
- A rent agreement that does not match the address on the utility bill.
- A self attested copy where a signature was needed, or a signature where self attestation was needed.
A quick fix is to scan everything in colour at full page size, name each file clearly, and check that every person’s name reads the same across all their documents before you file.
A simple way to prepare
- Collect PAN, Aadhaar, one photo ID and one address proof for every person.
- Get one passport size photo, an email and a mobile number for each.
- Pick the registered office and gather the utility bill, the rent agreement and the no objection certificate if it is rented.
- Apply for the DSC for each director or designated partner.
- Review every scan for clarity and name matches before the form goes in.
